This Course is part of the Business Law Specialization of the LLM Program.
‘Corporate Governance’ is a very important subject and is indispensable for a student pursuing honors course in corporate law that too integrated with management (BBA). Corporate Governance deals with the crucial interface between ownership and control, bringing in transparency for all the stakeholders and prescribing mechanisms of check and balance. It is a mechanism to provide assurance to the investors through reporting and mechanism of meetings. Addressing conflict of interest issues are at the core of the corporate governance framework. This Course is offered to the students of LL.M with the following main objectives:
Objectives of this course are to;-
1. Introduce the concept of corporate governance, its historical evolution and objectives
2. Acquire knowledge about the corporate governance regulations in India including key
Institutions and mechanisms
3. Understand the sources and key stakeholders and components of a corporate governance
framework including functioning of various committees of the Board of Directors and heir
functioning
4. Appreciate the functions of the Board of Directors and shareholders in corporate governance including the effects of corporate governance failures and types of frauds as well as suggest the potential areas of reforms
